These Terms of Use (“Terms”) govern your access to and use of smartbusinessfunder.com (the “Site”) and any application, form or service made available through it. The Site is operated by Collins Cash Inc., doing business as Smart Business Funding (“Smart Business Funding,” “we,” “us” or “our”).

By using the Site or submitting an application, you agree to these Terms. If you do not agree, please do not use the Site.

1. We fund businesses, not consumers

Smart Business Funding is a business-to-business funder. All funding is provided for commercial purposes only, to established operating businesses.

We do not offer consumer loans, personal loans, mortgages, auto loans, student loans, debt consolidation or any form of consumer credit. The Site is not intended for personal, family or household borrowing, and you may not use it to seek consumer financing.

Our services are offered only within the United States.

2. Nature of our funding — this is not a loan

Funding is generally structured as a purchase of a portion of your business’s future receivables, priced using a factor rate rather than an interest rate. A factor rate is a fixed multiplier applied to the amount funded. For example, a factor rate of 1.30 on $100,000 means $130,000 is repaid in total.

A factor rate is not an annual percentage rate (APR) and should not be compared directly to one. Your rate depends on your revenue, time in business, industry and risk profile.

We fund through two programs, and costs differ between them:

  • Partner funding. Factor rates start at 1.22. Origination fees range from 0% to 10% of the funded amount.
  • Direct Fund Program (in-house). Factor rates range from 1.25 to 1.49 for prime-qualified businesses, and 1.359 to 1.499 for higher-risk profiles. House fees range from 5% to 10% of the funded amount.

Third-party costs such as wire or ACH transfer fees may also apply. Funding amounts range from $10,000 to $5,000,000.

Every rate, fee and repayment term applicable to your funding will be stated in writing in your funding agreement before you sign. The figures above are ranges for general information and do not constitute an offer.

3. Eligibility

To be considered for funding, your business must:

  • Be an existing operating business that has been in business for at least one year;
  • Be located and operating in the United States;
  • Meet the monthly revenue minimum for the applicable program — $50,000 per month for our Direct Fund Program, or $5,000 per month for partner funding.

We do not fund start-ups, pre-revenue ventures, business acquisitions or purchases of a business.

Meeting these minimums does not guarantee approval. All funding is subject to underwriting and final approval at our discretion, or that of our funding partners.

4. Applications create no obligation

There is no cost to apply, and applying does not obligate you to accept any offer. Nothing on the Site is an offer or commitment to fund. No offer exists until we or a funding partner issue a written funding agreement and it is signed by both parties.

5. Information you provide, and how we use it

You agree that all information you submit is accurate, current and complete, and that you are authorized to submit it. Applications are frequently submitted on a business’s behalf by an owner, officer, chief financial officer, office manager or a broker or referral partner; whoever submits an application represents that they are authorized to do so by the business.

By submitting an application, you authorize us to obtain and verify information about the business and its principals as reasonably necessary to evaluate the application, including from consumer and commercial reporting agencies, and to share your application and supporting documents with our funding partners and service providers for the purpose of evaluating and arranging funding.

Our collection and handling of personal information is described in our Privacy Policy, which forms part of these Terms.

6. Communications

By providing your contact details, you consent to being contacted by us at the phone number, email address and mailing address you supply, including about your application and our funding programs.

Text-message consent is optional and is not a condition of applying or of receiving funding. If you opt in to text messages, message and data rates may apply and you can opt out at any time by replying STOP. You may unsubscribe from marketing email using the link in any such message.

You agree that we may communicate with you electronically and that electronic records and signatures satisfy any requirement that communications be in writing.

7. Acceptable use

You agree not to use the Site to submit false, misleading or fraudulent information; to apply on behalf of a business without authority; to seek consumer or personal credit; to interfere with the Site’s operation or security; to use automated means to access, scrape or copy the Site; or to use the Site for any unlawful purpose.

8. Intellectual property

The Site and its content — including text, graphics, logos, the Smart Business Funding name and marks, and the arrangement of the foregoing — are owned by Collins Cash Inc. or its licensors and are protected by intellectual property laws. You may view and print pages for your own business purposes. You may not otherwise copy, reproduce, republish, distribute or create derivative works from the Site without our prior written permission.

9. Third-party links and content

The Site may link to third-party websites or reference third-party organizations, ratings and publications. We do not control and are not responsible for third-party content, products or practices. Links are provided for convenience and do not imply endorsement.

10. No professional advice

Content on the Site, including blog articles and guides, is provided for general informational purposes only. It is not legal, tax, accounting or financial advice, and it does not take account of your particular circumstances. You should consult your own professional advisors before making financing decisions.

11. Disclaimer of warranties

The Site is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Site will be uninterrupted, secure or error-free, or that information on it is accurate, complete or current.

12. Limitation of liability

To the fullest extent permitted by law, neither Collins Cash Inc. nor its officers, directors, employees, agents or funding partners will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any lost profits, lost revenue, lost data or business interruption, arising out of or relating to your use of the Site — whether based in contract, tort, warranty or any other legal theory, and whether or not we were advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to the Site will not exceed one hundred U.S. dollars ($100). This limitation does not apply to obligations set out in a signed funding agreement, which is governed by its own terms.

13. Indemnification

You agree to indemnify and hold harmless Collins Cash Inc. and its officers, directors, employees and agents from any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising out of your use of the Site, your breach of these Terms, or any information you submit that is inaccurate or that you were not authorized to provide.

14. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the jurisdiction of those courts. This provision does not affect any dispute-resolution terms contained in a signed funding agreement, which control as to that agreement.

15. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date above reflects the most recent version. Your continued use of the Site after a change takes effect constitutes acceptance of the revised Terms.

16. Severability

If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
